Independent Representative Agreement

This Independent Representative Agreement ("Agreement") is made and entered into by and between Best Product Network (hereinafter referred to as "Best Product Network") and you as an independent representative of Best Product Network.

As part of becoming an Independent Representative of Best Product Network, you agree that you willingly accept all the terms and conditions of this Agreement. Best Product Network may revise this Agreement from time to time without prior notice. You should visit this page periodically to review this Agreement, because the Agreement is binding on you.

As an Independent Representative of Best Product Network, you make the following representations and agree to the following Policies and Procedures:

1. You understand and agree that Best Product Network is not an investment program and cannot guarantee earnings or how long it will take you to earn commissions.
   
    

2. You understand that If you join Best Product Network based on promises or income projections made by any member or group and those promises and projections are not supported by the Best Product Network Corporate Website, Best Product Network shall not be held responsible for these claims.
   
    

3. You understand that it is your SOLE responsibility to work to build your business and that no Independent Representative of Best Product Network has enticed you to become an Independent Representative of Best Product Network by saying they would build your business for you, or would give you spillover from their recruiting efforts, or made any indication whatsoever that you would easily earn money without your own hard work.
   
    

4. You acknowledge that no earnings are guaranteed from the participation in the pay plan. Commissions can only be earned when Representatives or customers in your organization make a product or service purchase.
   
    

5. You understand that as a Independent Representative, you are not guaranteed any income, nor are assured any profit or success. You have reviewed and understand the pay plan and realize that you can only make commissions upon the sale of Best Product Network  products/service.
   
    

6. You agree that you will not make any representations to a prospect about building a downline for them, or indicating they will get "spillover" from your recruiting efforts in order to induce them to become an Independent Representative of Best Product Network. 
   
    

7. You understand and accept that Best Product Network  has a no-stacking policy and consequently you may only have a financial interest in one Independent Representative position. Corporate form, partnership form and trust form Independent Representative positions are permitted, but subject to this provision, and not as a way around this provision. Spouses are encouraged, but not required, to help their spouse build their business.
   
   You further understand that under NO circumstances you are to communicate with any Best Product Network Independent Representative, other than those you personally sponsor, about any other income opportunity.
   
    

8. You understand that spamming or sending unsolicited faxes can cost you your Best Product Network membership. You will not use or transmit unsolicited emails or faxes, mass e-mail distribution or "spamming" in order to promote Best Product Network , its products/service, compensation plan or any other aspect of Best Product Network. These restrictions do not include an email or fax: (a) to any person with that person's prior express invitation or permission; or (b) to any person with whom you have an established personal or business relationship. YOU WILL NOT VIOLATE ANY STATE OR FEDERAL "DO NOT CALL" LAWS OR USE AUTOMATED CALLING.
   
    

9. You are of legal age in the state or country of your residency. You agree that you are an independent contractor, responsible for determining your own business activities without control of or direction by Best Product Network, and not an agent, employee or legal representative of Best Product Network. You will not represent in any manner that you are an agent, employee or legal representative of Best Product Network. You are responsible for the payment of all federal and state self-employment taxes and any other tax required under any federal, state, or regulatory taxing agency, and the obtaining of applicable business licenses.
   
    

10. In order to maintain a viable marketing program and to comply with changes in federal, state, or local laws in economic conditions, Best Product Network may provide additional or modified policies and procedures for Independent Representatives from time to time, as well as modifications to its Independent Representative Compensation Plan ("Compensation Plan") and Representative Guide to Internet Marketing. Such policies and procedures and Compensation Plan modifications, and all changes thereto, shall become a binding part of this Agreement upon publication on the official Best Product Network Internet website located at http://bestproductnetwork.com  and/or http://bestproductauction.com  
    
     

11. You understand that no attorney general or other regulatory authority has reviewed, endorsed, or approved any product, compensation program or Best Product Network, and you will make no such claim to others.
    
     

12. You understand that your marketing and promotion of Best Product Network, its products and services, the Best Product Network opportunity, and the marketing and Compensation Plan shall be consistent with the public interest, avoiding all discourteous, deceptive, misleading, unethical, illegal or immoral conduct or practices.
    
     

13. You will not promote your Independent Representative business nor use the Best Product Network name, or the trade names, logos, sales materials, trademarks or service marks of Best Product Network, except in materials provided by Best Product Network, or in a manner that properly communicates the trademark status of the Best Product Network trade name. You understand that unauthorized use or duplication of trademarks or copyrighted materials is a violation of federal and state law.
    
     

14. You are solely responsible for supervising and supporting any and all Independent Representatives you sponsor into the program and in your commissionable down line. You agree to maintain monthly communication and support to those Independent Representatives in your commissionable down line by way of any of the following, or combination thereof: personal contact, telephone communication, written communication including frontline messaging, e-mail and attendance at Independent Representative meetings.
    
     

15. Commissions payments:
    A) You understand that commissions and bonuses will be paid out only if the gross payout amount is greater than $10.00. You understand that if payouts do not exceed these levels, then payment will be carry over until such time as they meet or exceed these payment levels.
    B) You understand that Best Product Network  pays commission to its Independent Representatives via EFT (Electronic Funds Transfer - By PayPal). Any Independent Representatives who requests to be paid by checks will be responsible for any "stop payment" fee on lost or stolen checks. In the event that Best Product Network  has to stop payment on a check, a $30.00 fee will be deducted from the replacement check. C) You understand that commissions accrued, and even paid, are subject to reversal in the event of refund, charge-backs, error, duplicates or fraud.
    D) You understand that you will be charged an Accounting Fee for each compensation payment made to you hereunder. You understand that this fee will be $4.00 and that Best Product Network reserves the right to change these fees.
    
     

16. You understand that display of commission information and the making of income projections to prospective Independent Representatives are prohibited.
    
     

17. You understand that if this Agreement is cancelled or terminated for any reason, you cannot re-enter into an Independent Representative Agreement with Best Product Network  for a minimum period of three (3) months from the termination or cancellation date without the prior written consent of Best Product Network, LLC.
    
     

18. You understand that you shall not be treated as an employee of Best Product Network for federal or state tax purposes. Best Product Network is not responsible for federal or state tax withholding, and shall not withhold or deduct from your commissions and/or bonuses, if any, FICA, or taxes of any kind, unless such withholding becomes legally required. Under penalties of perjury, you certify that:
    
    a) You Understand that if you are a U.S. resident (including a U.S. resident alien), you must submit your correct Social Security Number or Employer Identification Number (both collectively referred to as "Taxpayer Identification Number" or "TIN"), and
    
    b) You are not subject to backup withholding because: (I) you are exempt from backup withholding, or (ii) you have not been notified by the Internal Revenue Service (IRS) that you are subject to backup withholding as a result of a failure to report all interest and dividends, or (iii) the IRS has notified you that you are no longer subject to backup withholding, and
    
    If federal or State tax withholding becomes legally required for you, you will contact Best Product Network immediately.
    
     

19. You agree, and hereby subscribe, to receive marketing communications and related correspondence from Best Product Network via email at the email address you provided to Best Product Network.
    
     

20. You give permission for Best Product Network to use your name in newsletters, announcements and other representative or marketing communications. You agree to share your name, e-mail address and phone# with your entire upline.
    
     

21. You agree to protect, defend, indemnify and hold Best Product Network, its agents, shareholders, employees, officers, directors, subsidiaries and affiliates, successors and assigns (individually, an "Indemnified Party", collectively, the "Indemnified Parties"), harmless from and against any and all third party claims, lawsuits, demands, actions, liabilities, losses, damages and expenses (including but not limited to the amount of any court costs and legal fees) (collectively, "Claims") arising out of or resulting from (I) your breach of this Agreement, (II) the use by you of the Best Product Network products and/or materials in a manner not specifically permitted by this Agreement, (III) Claims involving improper labeling or advertising of the Best Product Network products and services by you, or (IV) Claims that trademarks and/or materials that you use in association with your position as an Independent Representative, with the exception of any trademarks and materials supplied to you by Best Product Network, infringe the rights of third parties. Best Product Network shall notify you promptly in writing of a Claim for which it may seek indemnification from you under this article. The Indemnified Party shall have the right to participate in the defense of the Claim through counsel of its selection at its own expense. Best Product Network shall have the right at all times, in its sole discretion, to control the defense of the Claim, and no Claim shall be settled without Best Product Network prior consent.
    
     

22. If any provision of this Agreement should be determined by a court of competent jurisdiction to be void or in any measure unenforceable, the parties intend that such determination shall amend or modify this Agreement by eliminating or modifying only those provisions affected by the determination.
    
     

As an Independent Representative of Best Product Network, you have a right to cancel this Agreement at any time, regardless of reason. If you wish to cancel this Agreement, you must contact us.
